How does Megatron die?
While he evolved into Galvatron in the animated film, Megatron has died a few times in the live-action series. He dies at the hands of Optimus Prime in Dark of the Moon, mere moments after the Autobot dispatched Sentinel Prime. Depending on how popular you are, death is flexible in the Transformers universe.
Who will defeat Megatron?
I believe the official answer is said to be that Soundwave is the one Decepticon who could ever defeat Megatron in front battle. It’s not something we’ve ever seen, but it’s a canon statement that Soundwave was a warrior in the Gladiator ring and defeated Megatron before joining him as his most loyal follower.

One of the first of this new breed of Decepticons, the malevolent Megatron, killed Sentinel Prime in combat. As he died, Sentinel Prime handed off the Matrix to Alpha Trion, who kept it safe until the emergence of the next Autobot leader, Optimus Prime.

The best-known example is from The Transformers: The Movie, in which Optimus Prime dies after being shot a couple times by Megatron. [In]Famously, his body turns gray as he dies. (Urban legend says his body also crumbles, but no such footage is known to exist.)
